FAB9 Membership Pack
Fab9 Pty Ltd operates the Fab9 Makerspace located at 90 Maribyrnong Street, Footscray, VIC 3011. We permit our members access to the Makerspace to use our workspace, equipment and services.
The Membership Agreement
The Membership Agreement is comprised of the Membership Particulars, Terms & Conditions and our Membership Plans & Fee Schedule. It sets out the terms and conditions applicable to your Fab9 Membership.
When you sign the Membership Agreement, you are entering into a legally binding agreement with Fab9.
Key details about your Membership
Your Membership will start on the Start Date and automatically extend on a month-to-month basis, until either you, or we, terminate it in the way described in the Membership Agreement.
If an automatic direct debit arrangement is in place, Membership Fees will be debited from your card or account in advance on monthly basis until we or you suspend or cancel the arrangement by notifying your bank or credit provider.
The Membership Agreement sets out the process for you to temporarily suspend your Membership and obligation to pay the Fees.
Risks
There are risks associated with use of our workspace and equipment. This includes risk of physical harm or personal injury including permanent disability and/or death. any such injury can result not only from your actions but from the actions, omission or negligence of others.

B TERM
B.1 Term |
This Agreement commences on the Start Date and continues in force until it is terminated by you or us in accordance with its terms.

C YOU MEMBERSHIP
C.1 Membership Plan |
Fab9 offers several Membership options, with differing levels of access to our Workspace, Equipment and Services (Membership Plans). Details of our current Membership Plans are set out in the Schedule and are available on our Website at:
https://www.fab9.com.au/memberships#options.
Fab9 may add, remove or alter the Membership Plans we offer by giving 2 months prior written notice of the changes on our Website. If you are unhappy with any proposed changes to this Agreement, contact any of our staff members and we will reasonably endeavour to address your concerns.
You may upgrade or downgrade your Membership Plan by giving us at least 14 days' prior notice in writing.

C.2 Membership |
During the Term, and subject to this Agreement, Fab9 grants you membership to the Fab9 Workspace in accordance with the benefits associated with your Membership Plan (Membership).
|
C.3 License |
During your Membership, Fab9 grants you a non-exclusive, revocable licence to access the Premises and use the Workspace, Equipment and Services (Licence)
You acknowledge that:
No relationship of landlord and tenant is created between us and you;
we retain control, possession and management of the Workspace and you have no right to exclude us from any part of it; and
you are responsible for ensuring that the Workspace meets your needs and the needs of your business or enterprise (if relevant). We make no warranties or representations that our Workspace Equipment or Services are suitable for your intended purposes.
The Licence is subject to your ongoing compliance with:
this Agreement, particularly in relation to payment of the Fees;
your Membership Plan;
our policies and guidelines;
all reasonable directions of Fab9; and
all applicable legal obligations.

C.4 Monthly Renewal |
Your Membership will be automatically renewed each month, unless:
- your Membership is temporarily suspended in accordance with clause C.5; or
- this Agreement is terminated in accordance with its terms.
|
C.5 Temporary Suspension |
- Tou may temporarily suspend your Membership by giving at least 14 calendar days' prior notice in writing before the intended suspension period will begin.
- While your Membership is suspended, this Agreement will continue, and we will freeze any Membership Fees that fall within the suspension period.
- Fab9 reserves the right to terminate this Agreement without further notice to you if your Membership remains suspended for 6 or more months.

From time to time, Fab9 may need to conduct repairs, maintenance, and other works, which may affect the Member's access to the Workspace and/or Equipment.
Fab9 will endeavour to conduct such works at times that are likely to be less frequented by members and to provide advance notice of proposed works. However, such advance notice may not always be available.
The Member agrees that:

We are committed to maintaining the confidentiality and security of your personal information and managing it in an open and transparent way. We take our privacy obligations very seriously and have implemented practices, procedures and systems to ensure we comply with those laws.
BY PROVIDING PERSONAL INFORMATION TO US, YOU CONSENT TO OUR COLLECTION, USE, STORAGE AND DISCLOSURE OF YOUR PERSONAL INFORMATION IN ACCORDANCE WITH THIS PRIVACY POLICY AND ANY OTHER ARRANGEMENTS THAT APPLY BETWEEN US.

F.2 Photography Release |
You grant to Fab9, our employees and representatives the right to take photographs of you and your property in connection with your participation in the activities or presence at and/or use of Fab9.
You authorise Fab9 to copyright, use and publish the same in print and/or electronically.
You agree that Fab9 may use such photographs of you with or without your name and for any lawful purpose, including for example such purposes as publicity, illustration, advertising, and web content.

H OUR LIABILITY TO YOU
H.1 Commonwealth Statutory Notice |
The Australian Consumer Law (ACL) contained in the Competition and Consumer Act 2010 (Cth) (CCA) provides certain guarantees in sections 60 to 62 (statutory guarantees) which generally require that services supplied to you:
Permitted exclusion: However, the CCA permits a supplier of recreational services to ask you to accept some limitations on those statutory guarantees. Accordingly, to the extent permitted by section 139A of the CCA, you acknowledge and agree that we exclude all liability to you for death or injury resulting from a failure by us to comply with any statutory guarantee.
In the previous sentence, "injury" means:
Reckless conduct: This exclusion of liability does not apply if you have suffered any significant personal injury that is caused by our reckless conduct (within the meaning given to those terms by the CCA).

H.2 Victoria Statutory Notice |
WARNING UNDER THE AUSTRALIAN CONSUMER LAW AND FAIR TRADING ACT 2012
Under the Australian Consumer Law (Victoria), several statutory guarantees apply to the supply of certain goods and services. These guarantees mean that Fab9 is required to ensure that recreational services it supplies to you -
Under section 22 of the Australian Consumer Law and Fair Trading Act 2012 (ACL Vic), the supplier is entitled to ask you to agree that these statutory guarantees do not apply to you. If you sign this form, you will be agreeing that your rights to sue the supplier under the ACL Vic if you are killed or injured because the services provided were not in accordance with these guarantees, are excluded, restricted or modified in the way set out in this form.
NOTE: The change to your rights as set out in this form, does not apply if your death or injury is due to gross negligence on the supplier's part. Gross negligence, in relation to an act or omission, means doing the act or omitting to do an act with reckless disregard, with or without consciousness, for the consequences of the act or omission. See regulation 5 of the Australian Consumer Law and Fair Trading Regulations 2012 and section 22(3)(b) of the ACL Vic.

H.3 Compliance with law |
Nothing in this Agreement excludes, restricts or modifies any term, condition, warranty, guarantee, right or remedy (including under a statutory guarantee) which cannot lawfully be excluded, restricted or modified.

H.4 General exclusion |
Except as expressly provided in this Agreement, all implied terms, conditions, warranties, rights or other additional obligations that can be lawfully excluded are excluded from this Agreement.

H.5 No liability for death/personal injury |
WE ARE NOT LIABLE FOR:
AT COMMON LAW THAT IN EITHER CASE RESULTS IN THE DEATH OR INJURY OF THE MEMBER relating in any way to:
but to avoid doubt we do not exclude liability for our reckless conduct or gross negligence.

H.6 Your property |
Fab9 will not be responsible or liable for any loss, theft or damage to your personal property in or about the Premises including, without limitation, any property stored at Fab9 or any proprietary information or materials.

H.7 Outside providers |
Fab9 is not liable for any injury, loss or other claims arising from breach of contract, negligence or otherwise that are suffered by you in connection with any services, acts or omissions by outside providers, franchisees, contractors and other authorised persons who provide services at the Makerspace, other than to the extent caused by our negligence.
|
H.8 Consequential loss |
We will not be liable for any indirect or consequential loss, including, but not limited to, any loss of actual or anticipated business, business interruption, income or loss of opportunity.

H.9 Liability cap |
Our total liability to you for breach of this Agreement will be capped at an amount equal to the Fees paid or payable by you three months prior to the claim arising.

I YOUR LIABILITY TO US
I.1 Your responsibility for breach and damage |
The Member hereby indemnifies and shall keep indemnified Fab9 from and against all actions, claims, demands, losses, damages, costs and expenses which Fab9 may sustain or incur or for which the Member may become liable on or after the date of this Agreement in respect of, or arising from:

MEMBERSHIP PLANS AND FEES SCHEDULE
PART A: Membership Plans and Fees
Prices set out below are inclusive of GST.
PART B: Training and Assessment Fees
Site tours, Orientations, Training and Skill Assessments can all be booked via the Website or Fab9 Eventbrite page.
Use of the following equipment requires a booking and payment of the relevant fee and successful completion of the training session and/or assessment:
1. Timber Shop
Inductions and assessment must be completed in the following areas:
Timber Shop — jointer, thicknesser, router table, table saw, mitre saw, band saw, scroll saw, Timber Lathe.
Power tools, hand tools & finishing — oscillating belt sander, domino, drill press and an array of drills and hand tools;
2. Laser Cutter, 3D Printer and Electronics Equipment Safety
3. Multicam Trident CNC router
Use of the router requires induction before use. The course will take you through the CNC basics, such as CAD/CAM, G code (machine code), selecting cutters, and working with different materials. This course costs $250.
4. One-on-one training
Individual training with technical staff is offered at an hourly rate of $90 charged in thirty minutes increments.
PART C: Fees for Use of Special Equipment
Membership Fees include use of all Equipment except for the following:
MCNC routers - $12.50 per 15 min / $50 per hour; and
Laser cutters - $6.25 per 15 min / $25 per hour
(Special Equipment).
Special Equipment Fees are as published on our Website, from time to time.
PART D: Storage Fees

PART E: Retail
Fab9 stocks a range of common materials and consumables including timber, acrylics, filaments and finishes that can be purchased at our on-site 'one-stop shop'. Terms and conditions apply.
SCHEDULE - FAIR USE POLICY
1. Background
This Fair Use Policy applies to your access of the Workshop and Equipment. The Policy is intended to ensure that:
all Members have fair and equitable opportunity to access and use the Workspace and Equipment in accordance with their Membership Plan; and
the Workspace and Equipment are not used in an unreasonable manner.
We reserve the right to vary the terms of this Fair Use Policy from time to time.
Unless otherwise indicated, capitalised terms used in this Fair Use Policy have the meanings given to them in our Membership Agreement with you.
2. Fair Use
- You are responsible for clearing those parts of the Workspace and those items of Equipment which you use. All Equipment must be packed up and put away in its designated area after use to minimise risk and injury to other Members and staff.
- You must not attempt to fix any damaged or out-of-order Equipment yourself.
- In using the Workspace or Equipment, please be considerate of other Members and of Fab9 staff and minimise your noise.
- All members must access the building with their own access key. You must not allow non-Members to access the Workspace without Fab9s express consent.
- Members must only use the parts of the Workspace and Equipment that are within their Membership Plan, unless otherwise authorised by Fab9.
- For your safety and the safety of others, Members are expected to immediately report any accidents, incidents, problems with the Services, Equipment or the Workspace
- Do not use mobile phones or other electronic equipment while using the Equipment.
- Misuse of emergency procedures will result in a fine and suspension of membership.
- For any Equipment for which a booking is required, you must arrive promptly at the beginning of your scheduled booking time, and leave immediately at the end.
- If you are no longer able to attend a booking you have made, please contact us to cancel the booking.
- You must not make multiple bookings under different names.

A failure by you to provide information requested by us may mean that we are unable to provide some or all of our services to you or limit your use of our Workspace.

We may disclose your Personal Information for the purposes described in this Privacy Policy to:
our staff, agents, representatives or professional advisers at the time you contact us to inquire about Fab9 or our Workspace, when we provide access to our Workspace or any other relevant time;
third party suppliers and service providers in connection with Fab9 or our Workspace;
payment systems operators, when processing card payments;
anyone to whom our assets or businesses (or any part of them) are transferred, at or prior to such transfer;
specific third parties authorised by you to receive Personal Information held by us, in accordance with your authorisation; and/or
other persons, including government agencies, regulatory bodies and law enforcement agencies, or as required, authorised or permitted by law, at any relevant times.
4. Storage and security
We store Personal Information in electronic form. We take reasonable steps to protect your Personal Information from misuse, interference and loss, as well as unauthorised access, modification or disclosure and we use a number of physical, administrative, personnel and technical measures to protect your Personal Information. However, we cannot guarantee the security of your Personal Information.
5. Account registration and use
Members may need to register an account to access and use our Website and access our Workspace to publish availability and available capacity. Customers are not required to register an account.
6. Third party sites and services
Our Website may contain links to websites operated by third parties. Those links are provided for convenience and may not remain current or be maintained. Unless expressly stated otherwise, we are not responsible for the privacy practices of, or any content on, those linked websites, and have no control over or rights in those linked websites. The privacy policies that apply to those other websites may differ substantially from this Privacy Policy, so we encourage you to read them before using those websites.
7. Accessing or correcting your Personal Information
You can access the Personal Information we hold about you by contacting us at the details provided below.
Sometimes, we may not be able to provide you with access to all of your Personal Information and, where this is the case, we will tell you why. We may also need to verify your identity when you request your Personal Information.
